Terms of Service

By accessing or using our website, services, or any deliverable we produce for you, you agree to these Terms. They apply to all visitors, prospects, and clients of Celestial Nexus LLC.

Celestial Nexus provides AI systems, automations, training, and operations services for businesses. The specific scope, timeline, and pricing for any engagement are defined in a separate written agreement (proposal or statement of work).

To deliver our services effectively, you agree to:

• provide accurate information needed for the engagement;
• grant access to systems and tools required for implementation;
• make payments according to the agreed schedule;
• designate a primary contact for the engagement.

Custom work product created specifically for you is assigned to you upon full payment. We retain ownership of our pre-existing tools, frameworks, methodologies, and the general knowledge gained from engagements. You may not resell or redistribute deliverables outside your organization without our written consent.

Fees and timing are defined in your engagement agreement. Late payments may incur interest at 1.5% per month or the maximum allowed by law, whichever is lower. We reserve the right to suspend services for overdue accounts.

Both parties agree to keep confidential information shared during the engagement private. Confidentiality obligations continue after the engagement ends. This does not apply to information that is publicly available or independently developed.

Celestial Nexus's total liability for any claim arising from our services will not exceed the fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

Either party may end an engagement with 30 days written notice. Payment remains due for services rendered through the date of termination. Sections of these Terms that by their nature should survive termination will do so.

These Terms are governed by the laws of the State of Illinois, USA, without regard to its conflict of laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in Cook County, Illinois.

We may update these Terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms.
